Despite a hot job market, your raise will most likely be 3% or less

Despite a hot job market, your raise will most likely be 3% or lessDespite a hot job market, your raise will most likely be 3% or lessAs everyone knows, its a candidates job market, with unemployment at a 50-year low. However, according to compensation software company Payscale, Inc.s 2019 Compensation Best Practicespoll, that doesnt mean employers are handing out raises with jobs.Payscale Inc. talked to7,000 employers about employee compensation, retention, and management, and they said dont expect a big raise while 81% of organizations are planning base pay increases in 2019, the average increase isnt expected to rise much from 2018, with 70% of employers projecting raises of 3% or less for 2019.Follow Ladders on FlipboardFollow Ladders magazines on Flipboard covering Happiness, Productivity, Job Satisfaction, Neuroscience, and moreCompensation expectationOnly certain types of jobs got higher raises in 2018. Over 40% of employers gave raises of 10% or more for some jobs at their o rganizations, typically for more competitive jobs, such as IT, where its hard to attract the right talent. While the vast majority of raises were for performance (50%), the next highest category (roughly 17%) welches for retention.Instead of money, employers plan on perks and work-life benefits to reward employees.Working from home is a big one 44% will allow it (up from 39% last year). Plus, 37% will offer flex time. Unlimited PTO has almost doubled in recent years (5% of companies offered it in 2016 now 9% offer it in 2018). A 4-day work week is available to a lucky 10%.Cash incentives arent completely gone in 2018, 55% of all surveyed organizations paid out bonuses on an annual basis. Some gave out bonus pay on a quarterly (17%) or monthly (11%) basis. Will employees stay?Retention was a worry for employers organizations concerned about it was up 7% from the previous year. Also, almost half of all organizations say the strong job market has increased their turnover rate and less than 25% of that was good turnover, meaning the natural exit of low performers.Meanwhile, a number of sectors have jobs that are hard to fill mainly tech, engineering, and skilled trades. Its hard to sayBonus or no bonus, work-from-home privileges or not, it seems like employees just want a heftier paycheck and a decent raise. Ending Your Internship on a High Note

Ending Your Internship on a High NoteEnding Your Internship on a High NoteEnding an internship on a professional note is one of the most valuable and best things an intern can do. Since the major purpose of completing an internship usually consists of the following 3 opportunities, it is crucial that students take the time to end their internships on a good note. The 3 Main Reasons for Completing an Internship To gain relevant experience in a career field of interest. To add the experience to build a stronger resume. To make personal connections in the field that you will want to keep in contact with. In evaluating the above 3 reasons for completing an internship, the first and belastung ones are the things you will want to focus on as your internship comes to an end. Evaluating the experience and recognizing if you have learned everything you can from the internship will help to show you where you are. Are there questions you need to ask or people you still need to talk to? Are th ere professional journals in the field that you could be reading that you havent done so far? If so, see if you can get these in prior to the last week of your internship. Also, have you taken the opportunity to form relationships with co-workers and supervisors who can help you achieve career success for the future? Is there more you can do in this regard to establish professional networking contacts for the future? One of the most valuable aspects of any internship you complete are the relationships you have made with professionals currently working in the field. Things to Consider Before Your Internship Ends Ask for Honest Feedback on Your PerformanceAnyone starting out in a new field will want to get feedback so that they will know how they did and what they need to do to improve their performance. If you have enjoyed your internship and you feel like youve been a valued member of the team, you may already know how your colleagues feel about you. On the other hand, if you ar e not sure about your performance on the job, or if you wonder why other interns have received recommendations or even a job offer, you may want to check so that you understand whats going on. Although this can be an uncomfortable situation, its important to know whats keeping you back or if youve done a good job, if theres anything else thats working against you. It could be as simple as you are working in a field that is not a good fit for your personality, interests, and values. In that case, its best to know to move on rather than questioning why you left the internship feeling rejected and not appreciated for your efforts. Make an Effort to Be Appreciative for the ExperiencePrior to the end of your internship, make it a point to go around and say goodbye and thank those who youve worked with over the course of your internship. There will undoubtedly be those that youve gotten along better with than others its important to maintain professionalism to everyone whos contributed t o your learning over the summer even if its with someone that you had to learn how to control your emotions to avoid uncomfortable situations. Taking this approach also leaves the door open for future opportunities or even just to get a recommendation for a future job you apply for. Gain Perspective by Reflecting on the ExperienceSometimes we are just too close to a situation to be able to see it realistically. Stepping back and reflecting on the experience may provide some much-needed clarification. Taking some time to evaluate the experience and asking yourself specific questions can help you learn more from the experience and ways you might improve your performance next time. There are always things we can learn from any experience, and a good attitude is what will help you to grown and improve professionally. Do Your Best Work Right Up to the Last DayBe sure to put all of your efforts into your internship up to the very last day. Becoming a slacker the last few days or weeks of your internship will leave a bad impression of who you are and will cause the employer to question your work ethic in the long term. Last impressions are often the most vivid, and you want to leave the internship on a very high note. You will want to receive a good reference from the employer and who knows, maybe even a future job offer. Maintain Your Connections with Supervisors and Co-WorkersJust because you are leaving your internship, dont just fall off the face of the earth. Since networking is the 1 job search strategy and one of the core reasons for doing an internship to develop these contacts, touch base periodically to update them on your progress and to ask for their expertise. No matter what the field, professionals love the opportunity to help new talent get their feet off the ground.

6 ways to get ready to quit your job

6 ways to get ready to quit your job 6 ways to get ready to quit your job Most of us have entertained the thought: “Man, I really wish I could just quit my job.” But when it comes to actually making a plan to do it, there are so many things to get wrong. Maybe we quit too late, long after we stop having interest in our role. Maybe we leave too early, when there is still growth potential at our job. Maybe we’re too over-the-top, burning a bridge to a recommendation or a reputation that will come back to bite us later.  Before you make an “Office Space”-worthy exit after a difficult conversation with your boss, take a deep breath. It’s important to leave on the best note possible. Regardless if you were offered a position at another company or you’re leaving to start your own business or go on a much-needed sabbatical from everyday life, resigning can be tricky business. The good news is that you’re definitely not the first one to make their escape to something bigger and better, so you’re not on your own on figuring out how to do it. Take it from these successful entrepreneurs who took that leap of faith, while still keeping their professional reputation healthy.Make sure you’re ready to leaveNo matter how long you mull over it or how confident you are with your decision, it’s an anxious feeling leaving a steady paycheck and working environment. When Regan Walsh left her job as the head of branding and culture development at a non-profit after working there for four years, it was a stressful endeavor. To ease her worries as she transitioned into a full-time executive coach, she created a plan B to make that step off the ledge into the unknown easier to navigate. “As the frustration and weariness of my job set in, I immediately began evaluating what it would look like for me to step away. I had a safety net- savings, a supportive partner and a detailed business plan - while I transitioned to a new career. Feeling a sense of security during this ‘in-between’ period was important to me,” she explained.Espec ially if you don’t have another gig to hop to, make a list of everything you’d need to have set in place - from the exact number of zeros in your bank account to how you’ll handle health care - to ensure you don’t nosedive before you even get started.Be professional with your exitSo you’ve crunched the numbers, you’ve gone through the interview process, you’ve negotiated your salary and now you only have one more item on your to-do list: quitting! Though it might seem like the last part of a long process, Susan Bratton, the founder and CEO of Savor Health argues it’s the most important one. She left a 20-year career on Wall Street to start Savor, which is a company dedicated to the nutritional needs of cancer patients. But when she decided it was time to head out, she knew how essential it was to be professional, no matter how ready she was to leave. Instead of two weeks, she gave a month, and when asked why she was leaving, she was honest while being helpful. “I f you are leaving because you are unhappy or you don’t like the culture, be honest but also professional. Say something to the effect of ‘While I love the X, Y, Z of this company, I have found that A, B, C are not suitable for my personality/desires/objectives etc.’ In other words, focus on how you are not a good fit rather than saying ‘I hate this place,’” she recommends. She also adds that it’s important not to throw anyone under the bus. “I am a big believer that there is a place for everyone and sometimes when things don’t work in a job it is because of  â€˜fit’ more than anything,” she says.Focus on the futureA year ago, James Aschehoug left his job as a finance consultant to start the social media platform Uriji Jami. Though he juggled working full-time with developing his start-up at the same time, when it became too much, he knew he needed to make a choice. While he was ready to plunge into the entrepreneur life, he knew that focusing on the past or wo rrying about the future wouldn’t serve him professionally - or emotionally. Especially when you’re putting in your notice, you don’t want to harp too much on what happened, but focus on the reasons you’re moving forward. “Rather than brood over the past and the reasons that might have led you to quit, try focusing on your next step and the exciting times ahead. There is nothing worse than being bitter as you will be remembered as a loser. Instead, impersonate this inspiring, high-potential person leaving for something better. And then be that person,”Aschehoug says.Do it on a FridayAfter working in investment banking for several a decade, Catherine Tan decided to leave to pursue a career curating first-hand, geo-based high-quality content. Her company, Notey.com, curates recommendations for travelers. When she made her move, she put in her notice on a Friday. While she did everything on her end to make it a professional departure, she wanted to be sure that her boss wou ld have plenty of time to cool off.“The worst thing is showing up to work the next day and your boss is still angry. Give them a weekend to calm down so that Monday you can proactively start working on a transition plan,” she advises.Tie up loose endsDavid Heath left his previous job to join the socially conscious clothing line  Bombas  just a few months before it officially launched. While wildly successful now, Heath had no way of knowing if the move was be the right one. He also knew it was essential to leave on a high note, instead of a messy one. That’s why he says to make sure you tie up all loose ends, clean out your inbox and leave your co-workers and employers in a secure place before leaving. “Arm your team and your managers with the tools to pick up where you leave off. Be understanding, too. While you may be leaving, your colleagues and managers still have the work to do. So make sure you help make the transition as easy as possible on your way out,” he says. B e sure you want your passion to become your jobIf your motivation to leave is centered around a thirst to become an entrepreneur, remember that when your passion becomes your job, that inspiration may change. Cate Brinch, the owner of the cycling gym  Recycle Studio in Boston, learned this firsthand. “I drew a line and realized early on that the best way for me to run this business was to be owner and operator, not instructor, because I couldn’t wear all hats. I think it is important to identify the best ways for you to work with your passion if you chose to do so,” she suggests.

8 subtle signs youre settling for comfort instead of embracing the unknown

8 subtle signs you're settling for comfort instead of embracing the unknown 8 subtle signs you're settling for comfort instead of embracing the unknown Does it ever feel like you’re waiting?Waiting for something to happen. Waiting for the fog to clear, so you can see what lies ahead. Waiting for the moment the pieces come together, culminating in the perfection you spent your entire life waiting for.If you’re still waiting, here’s news: you’re wasting your time.Waiting is dangerous. It gives the false illusion that if you’re patient enough, time will reward you with everything you hoped for. It causes you to sit there and let things fall into place rather than doing something yourself.Follow Ladders on Flipboard!Follow Ladders’ magazines on Flipboard covering Happiness, Productivity, Job Satisfaction, Neuroscience, and more! But the greatest danger about waiting is that one day, you’ll look back and realize that you spent all that precious time sitting there, waiting. We were not meant to stay in one place. We were meant to go. To reach one place, admire the view, and then go to another place. And so on.Has the dust fina lly settled for you? Have you been looking at the same view for a while now? If so, it’s time to brush off the dust and keep going. Here are 8 subtle signs that you’ve stayed in the comfort zone for too long:1. You don’t remember the last time you felt “the burn”A marathon runner once said, “If you’re not feeling the burn in your lungs, you’re not pushing yourself hard enough.”When people are new to exercising, they typically shy away from this feeling. They don’t know whether it’s safe, or that they can even push themselves to that level. Instead, they end up slightly fatigued, satisfied that they even put in the effort.“The burn” is a great analogy just about everywhere in life. When you work on something, do you end up a little tired, or does it feel like your mind has been stretched full with ideas? When you evaluate the relationships in your life, are some people around because it’s  convenient, or because they genuinely add to your quality of life?Th ose “burn” moments bring discomfort and pain, but they also bring growth and strength. If you’re not feeling the burn, you’re not pushing the limits of your progress.2. You have mastered all the components of your lifeSo you’re an expert at everything you do now. From making coffee in the morning to getting work done at the office, you’ve got it all covered. You’re so good at everything you do, it’s almost as if you can do it with your eyes closed. At first glance, this sounds like a great thing. Your life runs like a tight ship, with every piece moving in clockwork fashion. You have everything you need. Yet why do you still feel a deep running sense of discontentment? It’s because you may have mastered everything in your life, but you also know there’s still so much that you have no knowledge about. When you know how to do something perfectly, there’s no challenge left. And when there’s no challenge, there’s no sense of reward.3. You can predict what will ha ppen to you in the futureIt’s true that no one can absolutely predict what the future will bring. There’s no foretelling of an impending disaster, a windfall gain, or when someone will cross your path and lead you down a road you had never imagined. However, you can probably predict what your routine will look like tomorrow, and the day after, and so on. There’s nothing on a daily basis that surprises you. All elements of uncertainty have been vanquished. Now, a routine is good in some ways. A routine increases your  work productivity  and keeps stress levels down. But being able to predict with near certainty what will happen to you also means there’s no room for spontaneity. When there’s little room for spontaneity, there’s little room to encounter new opportunities. The most life-altering moments come from situations that are out of the ordinary, such as traveling somewhere new or learning a skill. If you’re looking for those pivotal moments, you need to be prepared to change up your routine once in a while.4. Instead of making things happen, you let things happen to youTo what extent are you in control of your life? While you don’t have control over what happens to you, you do have control over how you act. You can either make a decision or do nothing at all.But if you don’t make decisions, you release the reins on what happens next. Eventually, someone else will come along and make those decisions for you. When that happens, you might not like what others choose for you.Think back to the last few changes that have happened to your life. It could be anything: a financial investment, moving somewhere, or enrolling in a course. How many of those changes were initiated by you? Were you the one that said, “I’m going to do that, and this is how I’m going to achieve it”? Or was it someone else who brought it up and you went along because you had no idea what else to do? When you let things happen instead of making things happen, you lose si ght of who you are and who you can become.5. Failure isn’t in your vocabularyFailure is commonly seen as a source of embarrassment. In fact, some people pride themselves on never failing. But what they don’t realize is that never failing has its downsides.People who don’t fail don’t know the value of humility, so they  lack sympathy  and understanding of others. They go on looking at the world from a top-down perspective. After a while, looking down at others becomes a very limited viewpoint. It’s important to realize that every success comes with a mountain of failures beneath it. Failure forces you to learn what works and what doesn’t work, which helps you grow as a person. If you’ve never failed, it means you never reached high enough.6. You have answers, but you don’t have questionsNo one knows everything. In fact, look at the experts in any given field. Every day, they’re still figuring out the answers while discovering new things in the process. So if you think you know everything there is to know, you’re wrong. Not only are you wrong, but your mindset is wrong. Chances are, if you think you know enough, it means that you don’t know nearly enough.Pay attention to your thought process when you encounter an obstacle. Do you shirk away, or does your mind start to turn? Responding with “I don’t know” is really an excuse. A better approach is to ask, “How does this work?” That small mindset switch makes all the difference between  being complacent  and being proactive.Leading with questions rather than answers keeps you curious about the world. It forces you to reach out of your comfort zone and explore. After all, the universe is filled with infinite unknowns waiting to be discovered.7. You avoid any and all conflictsLet’s be honest: who enjoys starting conflicts? Unless something is really, really bothering someone, most people would prefer to go on with their usual routine. Life is hard enough without unnecessary hiccups. And in the vast majority of cases, that decision would be the right one. Conflicts, and by extension, changes of any sort cause serious abrasion between people. But when there’s a decision being made that impacts months, years, or even decades of your life, it’s time to speak up.For instance, I know someone who has been in the same relationship for over 10 years, which sounds great on the surface. Together, they own a car and a home, and they’ve been engaged for years. Yet she expresses uncertainty and is never quite ready to discuss the future. As you might guess, these decisions were initiated by her fiancé and she went along with it â€" simply because it was easier than going against the grain. The deeper you settle into something, the harder it becomes to get out. Creating a smaller conflict to avoid long-term pain is better than prolonging an undesirable situation to avoid conflict.8. If your world was turned upside down tomorrow, you have no idea how you would copeIt’s ea sy to coast by and let things be when someone else takes care of things in your life. Maybe you’ve been at the same company under the same boss for over a decade. Maybe your spouse makes all the major decisions. Or, a family member manages all your finances. So you slowly sink into that steaming, warm bath of comfort and close your eyes. But what happens if the plug gets pulled? Would you have anything of your own? Or would you be helpless?Relying on one thing, and one thing only, is risky. That one thing could be one source of income from a company, or one person to provide the support you need. Your entire world teeters on it like a crutch. Without it, everything comes crashing down.To prevent this, financial investors practice diversification to reduce exposure to any particular asset. You too can do the same. Multiply your  revenue streams. Expand the people you know. Widen your knowledge. When you diversify, you feel less of an impact from any potential disaster.Ultimately, th e greatest comfort lies in knowing that you’ve survived the discomfort and come out a stronger person. This article first appeared on Jump Start Your Dream Life.

5 No-Brainer Ways to Make People Respect You More

5 No-Brainer Ways to Make People Respect You More 5 No-Brainer Ways to Make People Respect You More The world is full of dreamers. Look around you and you’ll find there are plenty of people who spend a lot of time and money reading business and branding books or signing up to attend intensive retreats and motivational seminars. But let’s be honest: Even while these books, seminars, and articles may contain useful information, many of those who put in the effort to “get motivated” still don’t find the success they want. Many times, it’s because of one simple (yet often overlooked) fact: They turn others off. If you’re one of those folks doing “everything right” and still not getting where it is you want to go, you may want to consider how you’re coming across to those around you. Here are five ways to immediately polish your presence: 1. Carry Yourself With Grace What exactly does this mean? Let’s look at three dictionary definitions of the word for a clue: Smoothness and elegance of movement Courteous good will Bring honor or credit to (someone or something) by one’s attendance or participation We live in a world where it seems dated to walk around with a gentle demeanor and a quiet pride. Do it anyway. When you carry yourself with the characteristics listed above, you stand out in a sea of self-congratulatory navel-gazers and those with brash, aggressive (and often misinformed) opinions. Walk, talk, and work with dignity, accountability, and dedication, and you’ll get more than attention- you’ll gain respect. 2. Respect Those Around You This sounds like a filler phrase, but this extension of point number one couldn’t be more valid. Respecting others makes room for the appreciation of their presence, wisdom, and right to be a human being making mistakes and learning lessons at their own pace. When you help to create a space where others can exist without feeling bullied or rejected, it shows that you recognize where you end and they begin. Remember this when you’re in a position of power and when you’re faced with a person who’s testing your patience. Showing respect doesn’t mean that you approve of every behavior or agree with every statement. It simply means that you don’t allow your ego (or theirs) to strip your dignity away. There is power in not having to prove you’re right in every situation, even when you are. 3. Rock Those Details It’s time to take some time to think about your personal brand as a person and professional. I don’t care how smart, skilled, or charming you are- if you look, write, speak, or follow-up like a slob, you’re going to turn people off. If you’re lazy and don’t carry your weight, no one will want to work with or vouch for you. What message are your clothes sending? How do your emails and texts read? Do you go the extra mile without being asked? Do you sound confident or timid when you speak? Are your sentences clear or stuffed with filler words? How do you greet and follow-up with people? The more you think about the way people experience interactions with you (from start to finish), the more control you’ll have over your reputation, relationships, and career. 4. Don’t Assume Others “Have it Easy” I once found myself talking with an athlete at the SNL studio where he was hosting. The night before, we’d gone out and dozens of people approached him with a look of total adoration in their eyes. He was clearly appreciative of his status as a revered athlete- it seemed glamorous. But he told me about some issues he was having in his personal life that could have been voiced by anyone else in my social circle. The lesson I learned was that it was easy to glorify those who “make it” and assume that their lives are smoother, more fun, and less stressful simply because they’ve had certain wins we ache to experience. We’re all working hard every day to achieve or maintain accomplishments that are meaningful (and lucrative) for us. 5. Deal With Life Like a Boss Even when you don’t sweat the small stuff, life isn’t always going to be a smooth ride. How you deal while on the bumpier parts of that ride will impact everything from your health and wellbeing to your reputation and your relationships with those around you. Plan ahead, stay flexible, and never lose your grit. Be willing to jump in and do what needs to be done to move things into a better direction, and do your best to keep the tone low and steady, the gaze on the prize, and know that the only thing hitting that red panic button will do is shut everything down. Extended Twin Operations (ETOPS)

Extended Twin Operations (ETOPS) Extended Twin Operations (ETOPS) ETOPS, or  Extended Operations or Extended Twin Operations, describes a type of operation in which air carriers are allowed to fly an extended range over places where airports and landing areas are sparse, such as long routes over the ocean (although ETOPS is not limited to oceanic flights). These air carriers may have previously been restricted by FAR Part 121.161, which puts restrictions on air carriers over certain routes, and ETOPS is an added privilege or an exemption from the stated rule imposed by the FAA outlined in FAR Part 121.161 (see below).  ? ETOPS Defined In AC-120-42B, the FAA defines ETOPS as: An airplane flight operation during which a portion of the flight is conducted beyond 60 minutes from an adequate airport for turbine-engine-powered airplanes with two engines, and beyond 180 minutes for turbine-engine-powered passenger-carrying airplanes with more than two engines. This distance is determined using an approved one-engine inoperative cruise speed under standard atmospheric conditions in still air.In a nutshell, ETOPS came about as a result of FAR Part 121.161 in order to allow aircraft to fly routes that would otherwise be against the regulations per Part 121. CFR Part 121.161 Specifically,  CFR Part 121.161  states the following: …no certificate holder may operate a turbine-powered aircraft over a route that contains a point:At first, the acronym ETOPS was used to describe only Part 121 aircraft with two engines. Since its inception, the ETOPS regulations have been expanded to include any two-, three-, or four-engine aircraft carrying passengers for hire over an area in which airports are not accessible per the FAAs regulations, hence the acronym change from extended twin operations to just extended operations. Beginning in 1936, a pilot or operator had to prove that there were suitable landing fields at least every 100 miles along their route.  When CFR Part 121.161 was established in 1953, aircraft operators  had to ensure a landing area within 60 minutes of their route. With three- and four-engine aircraft, the rules continued to change  to keep operators flying efficiently  while maintaining  a  safety net for aircraft should an engine fail. The first ETOPS approval was given to TWA in 1985, the same year the FAA began allowing  twin-engine aircraft an extension to a 120-minute diversion period. It was then extended even further to the 180-minute maximum in 1988. Today, an ETOPS rule of 240 minutes is approved in certain circumstances for three and four-engine jets. Boeing was the first to obtain ETOPS-240 certification for its Boeing  777 aircraft.   For any airplane to successfully fly under ETOPS rules, it must be certified and approved by the FAA first. The approval process for ETOPS is outlined in advisory circular 120-42B.   Carriers using twin-engine aircraft can apply for ETOPS certification in any of the following categories, according to AC-120-42B: 75-minute ETOPS90-minute ETOPS120-minute ETOPS138-minute ETOPS180-minute ETOPS207-minute ETOPS240-minute ETOPS (for a specific geographical area)240minute ETOPS (based on specific city pairs)

What Does it Mean When Management Starts Neglecting Employees

What Does it Mean When Management Starts Neglecting Employees What Does it Mean When Management Starts Neglecting Employees Coming to work on a Monday morning to find upper management tight-lipped is an uneasy feeling. Some say it could be a sign of impending layoffs or bad things to come but should you start packing up, or speak up? Decoding the Silence First you’ll have to play detective and try and figure out what it means if management starts to neglect employees. There are a number of possible scenarios and they don’t all mean that you are being laid off. It could be your boss who is leaving.   It could a coworker. It could be nobody at all. Executives get a case of the Mondays every once in a while too. Even if this is the case, there are steps to take according to the Career Doctor Randall S. Hansen, founder of Quintessential Careers.  Hansen believes any lull in the conversation could be bad for the employee. “You have a new boss who is either “too busy’ to meet with you or simply brushes you off. This issue alone is not enough to think layoff, but try to remedy this situation as quickly as possible. If your new (or current) boss does not totally understand all the things you do for your job, you become more expendable when budgets get cut,” says Hansen, As Hansen says having an open line of communication with your higher-up is important for a number of reasons. At the very least your boss needs to know how hard you are working and in a culture of job cuts and layoffs, this might be doubly important. Employment writer Gregory P. Jacobson warns bosses and managers to keep information flowing, especially if tough times are ahead, in his article Don’t Neglect Employee Morale in a Down Economy. “Individuals tend to think the worst in difficult situations. Lack of communication can lead employees to assume their jobs are at risk. In addition to low morale and lack of motivation, neglecting to communicate with employees could push them to search for new employers,” writes Jacobson. If all else fails, and the boss continues with the silent treatment then being prepared is a good option says executive/career coach and 15-year recruiting veteran Darrell Gurney. In his article Create an Emergency Layoff Plan for Your Family. Gurney gives tips to help prepare you and your family if a layoff is in your future. Having a plan can help you handle even the worst-case scenario.

Why Your Job Should Make You Uncomfortable

Why Your Job Should Make You Uncomfortable Why Your Job Should Make You Uncomfortable There’s a guy I know who’s simply amazing at his job. He’s an executive level creative at a global marketing agency, and besides being great to work with, he has an eye for visual design that’s pretty much unparalleled. He rocks it every single time. But he’s also terrified most of the time; he told me as much. As good as he is, and as good as he’s proven himself to be, he’s scared that the next project will go spectacularly wrong or that it won’t be beautiful in the ways he knows it can be. How can he be so good at what he does and still be so scared? The answer’s actually pretty simple- because he’s always pushing at the edges of his experience and straying into new territory. He’s not afraid to be uncomfortable. Think about it. A job that offers only comfort is a job that’s completely familiar. There are no surprises. Everything the job requires, you’ve done before. It’s predictable, safe, and duller than dirt, and it might seem as though such a job would be a solid choice for a risk-free way to earn a few bucks. But the longer you stay somewhere out of the desire to be safe or comfortable, the more your worldview narrows, the more your confidence gets eroded, and the more your sense of who you are diminishes. You might forget why you took the job in the first place. All kinds of tiny things start annoying and frustrating you. You worry about risk and change more than you ever did before. You don’t remember what your best looks like, and joy becomes a concept that’s more and more elusive. This is how people slip into a rut, with the initial appeal of comfort becoming a bad habit that’s increasingly hard to break. As that rut gets deeper, the greater the gap between where you are and where you could be, and the more frustration, stress, and anger leaks out. Discomfort, on the other hand, means that you’re out there exploring. It means you’re in a place you haven’t been before; maybe you’re learning a skill for the first time that makes you feel clumsy or incompetent. Maybe you’re applying an existing skill in an entirely new way, like problem-solving your way through a whole new bag of issues or building rapport with C-suite execs. Or maybe you’re in the spotlight like never before, perhaps because you get to call the shots or perhaps because others value your insights. Problem is, discomfort comes with fear, doubt, and second-guessing, and our preferred response to those things is to pull back and go back to where we feel safe. So here’s the trick: Stop thinking that you shouldn’t be uncomfortable and that discomfort is bad or unwanted. It’s not even that you need to start thinking that those things are good or desirable. It’s simply seeing them as a thing that happens from time to time, and still coming at them with everything you are. Comfort and safety can be far more damaging to you in the long-term than discomfort and risk, particularly in today’s world. Which leads us to one big question: If you could find comfort in the uncomfortable and feel safe amid the unknown, what difference would that make to you? Photo of memo courtesy of Shutterstock.

Articles of Incorporation FAQ - United States

Articles of Incorporation FAQ - United States Articles of Incorporation FAQ - United States What is a corporation and how do I incorporate? What is a corporation?A corporation is a distinct legal entity that can own property, borrow money, pay taxes, hire employees, sue or be sued. The shareholders are the owners of the corporation and participate in the corporate profits through the payment of dividends. The shareholders are not personally liable for the actions of the corporation. What are the advantages and disadvantages of a corporation when compared to other business entities? The biggest advantage of incorporation is limited liability for shareholders. Under law, a corporation is considered to be a legal person that is distinct from the shareholders who own it. This means that individual shareholders are not personally liable for the debts and obligations of the corporation. If a corporation fails then the shareholders will only lose the amount of the purchase price of their original shares. One disadvantage of a corporation is that income is taxed at two levels: first on income for the corporate entity, and then at the shareholder level where shareholders pay income tax on any dividends they have received. How do I incorporate? To incorporate you must first file the Articles of Incorporation with your corporate regulatory body, usually the Secretary of State. In some states this may be referred to as the Certificate of Incorporation. Additional forms may also be required such as the Resident Agent Acceptance. Subsequent to the initial filing an Initial Report or Statement of Information may be required. In addition, a name search will be required to ensure that your corporate name will not be confused with any company already in business. What are Articles of Incorporation? The Articles of Incorporation is a document that is filed with the Secretary of State by the individuals organizing the corporation. The state then issues a Certificate of Incorporation that legally entitles a corporation to operate as a business within the state. The Articles of Incorporation describe the purpose of the corporation as well as the share structure. The Articles will also list the names of the individuals who are acting as incorporators for the corporation and may also list the names of the individuals acting as initial directors for the corporation. The actual rules governing the management of the corporation would be contained in a separate document called the Bylaws. You do not need to file your bylaws with the Secretary of State because bylaws are for the internal use of the corporation only. What is an annual report? All corporations must file an annual report. This keeps the Secretary of State informed with changes in officers, directors and addresses. What is an Incorporator? The incorporator is the person or persons who organize the corporation and file the Articles of Incorporation. Once the filing is complete the incorporator's function is complete. After that the management of the corporation is performed by the directors subject to ratification by the shareholders. So all I have to do to form a corporation is file the Articles of Incorporation? No. Many states require further documentation and they will send the appropriate forms to you. Many states will require an initial annual report. These must be filled out and returned promptly with any required fees. Pay attention to any deadlines that are indicated. The corporation will also need to file a tax return and report any income. Other issues to be resolved include obtaining a Federal Tax ID number and if necessary, a Sub Chapter-S Filing. What is a Sub Chapter-S (S-corporation) filing?Normally a corporation is double-taxed on income earned. This happens where the corporation is taxed on its income and then the shareholders are taxed on any dividends they receive from the corporation's net after tax income. If your corporation qualifies however you can make a federal filing as a Sub-Chapter S corporation and possibly obtain single level or pass through taxation similar to a partnership. You should consult a qualified tax accountant to decide how this option may affect your situation. How do I get S-corporation status for my corporation?S-corporation status is a federal application and is not part of the Articles of Incorporation filing that you send to your state government. If you meet certain requirements you may apply for federal S-corporation status. For more detailed instructions review the following links on the IRS website: Instructions for IRS Form 2553 Fillable PDF version of IRS Form 2553 Types of CorporationsWhat is a Private Corporation?A Private Corporation is owned by a small number of people through a limited issue of shares in the corporation. The shareholders may also participate in the management of the corporation. There is no public issue of shares and as a result there is no public market to trade shares. What is a Public Company?A Public Company is owned by the general public and the shares are publicly traded through a listing on a stock exchange. Under the Securities Exchange Act of 1934 securities may not need to be registered with the SEC where the investor is sufficiently knowledgeable and would not need to rely on the disclosure provided through registration. As a result the Securities Exchange Act of 1934 provided a few exemptions to registration. What is a Closed Corporation?A Closed Corporation is owned by a small number of people. All or most of the shareholders may also participate in the management of the corporation. There are very few if any outside investors and as a result there is no public market for the exchange of shares. It may also be referred to as a Private Corporation or a Privately-Held Corporation. What is a Closely Held Corporation?A Closely Held Corporation is owned by a small number of people. All or most of the shareholders may also participate in the management of the corporation. There are enough outside investors to support a public trade of the corporate shares. What is a Publicly Held Corporation?A Publicly Held Corporation is owned and freely traded by many persons including the general public. A Publicly Held Corporation will also have to comply with additional securities laws and regulations. What is an S-Corporation?An S-Corporation is a corporation that has successfully applied to be taxed under subchapter S of the federal Internal Revenue Code. This means that the corporation will be taxed similar to a partnership where the corporation does not pay income tax. Instead, the income will pass through to the shareholders and the shareholders must report the corporate income on their personal tax returns. Does this document work for Not-For-Profit corporations? No. The LawDept Articles of Incorporation is intended to be used by for-profit corporations only. Registered/Resident AgentWhat is a Registered or Resident Agent? The state requires that each corporation be represented by a registered agent. This will ensure reliable communication between the corporation and the state. The agent must have a physical office within the state. The registered agent may also be referred to as an Agent for Service of Process. What is the registered office? The registered office is the physical street address within the state where the registered agent can be contacted during normal business hours for service of process. How do I change my Resident/Registered Agent? In most cases the Secretary of State will provide a standard form specific for this purpose. It is important to report any change in agent or agent address promptly. Follow the directions carefully. BylawsWhat are the bylaws of the organization? The bylaws of the corporation describe the internal rules governing the management of the Corporation. They do not form a part of the Articles of Incorporation and do not have to be included with the initial corporate filing. They are for internal use only. Meetings and MinutesWhat is an organizational meeting?Once the Articles of Incorporation are filed and a Certificate of Incorporation is received from the Secretary of State the corporation should hold the organizational meetings. If directors are not yet appointed then the incorporators should hold an organizational meeting for the purpose of appointing directors and completing the formation of the corporation including drafting and adopting bylaws subject to ratification by the shareholders. If directors were named in the Articles of Incorporation then the directors should hold an organizational meeting and complete the formation of the corporation again subject to ratification by the shareholders. The shareholders can then hold an organizational meeting to ratify any action taken by the incorporators or directors including adopting the articles of incorporation, adopting the corporate bylaws, electing or adopting the appointment officers and electing or adopting the appointment of directors. What are corporate resolutions?A corporate resolution is a written document describing the action taken by the directors of a corporation. Resolutions may describe action taken during a board meeting or may have been generated by agreement of the directors without a meeting. What is cumulative voting?Cumulative voting may be used when shareholders vote to elect a board of directors. Where cumulative voting is allowed, the number of votes allowed for each Shareholder will be calculated by taking the number of voting shares they are entitled to cast and multiply that by the number of Directors being elected. The Shareholder may cast his total votes for a single Director or may distribute them among two or more Directors, as the Shareholder sees fit. Cumulative voting prevents a majority Shareholder from being able to elect all the Directors of a corporation by allowing a minority shareholder to use all their votes on one Director. Shares and StockWhat are shares?A share of stock is an ownership unit for the corporation. Shares are sold in exchange for cash or other considerations in order to raise capital to start or expand the corporation. There must be at least one class of share issued. Different classes of shares may be assigned different privileges such as right to vote on management issues as well as the right to participate in the sale of assets if the corporation is dissolved. What is a shareholder?A shareholder is a person, business entity or institution that owns at least one share in a corporation. Shareholders are the actual owners of the corporation. As an owner, the shareholder has the potential to profit if the corporation is doing well but also has the potential to lose their investment if the corporation goes broke. A shareholder is not personally liable for the debts and obligations of the corporation. If a corporation goes broke (worst case) the shareholder may get little or nothing as an equity holder in the corporation. Other secured creditors such as banks and bond holders would be paid first in the event of the liquidation of the assets of the corporation. What are issued shares?Issued shares are the authorized shares that have actually been issued or sold to shareholders. Un-issued shares do not represent an equity holding in the corporation. A shareholder's equity will be determined based on the total number of issued shares and will not include the remaining authorized but un-issued shares. Note also that a corporation may own or purchase its own shares but that this is different from un-issued shares. What are authorized shares?Authorized shares are the total number of shares that the corporation may distribute or issue. There is no requirement that all authorized shares must be issued. Authorized but un-issued shares are not included in any calculation corporate or shareholder equity. I know how many shares I want to issue but how many should I authorize in total? It is typical to authorize more shares than you plan to immediately issue. This gives the corporation flexibility to issue more in the future either to raise capital or as part of an employee incentive plan. Consider what you might possibly issue shares for in the future and include those plans in the number of shares authorized. In many states however you will pay a higher registration fee based on the number of shares authorized so make sure the number of shares you authorize is reasonable and not ridiculously high. If you do not provide for enough authorized shares then you will need to amend your Articles of Incorporation and re-file with the Secretary of State.
